These Terms and Conditions (“Terms”) govern your use of www.lilyaudio.com (the “Site”) and the purchase of products from Lily Audio.

By accessing the Site or purchasing products, you agree to these Terms.

1. Products

Lily Audio sells:

  • High-end physical headphones

  • Audio accessories

All products are subject to availability. We reserve the right to modify or discontinue products at any time without notice.

Headphone design, driver development, manufacturing, and final assembly are conducted in California, USA. Certain mechanical components used in the product are imported from third-party suppliers.

2. Pricing and Payment

All prices are listed in U.S. Dollars (USD).

Applicable taxes are calculated at checkout.

We accept payments via approved third-party payment providers. By submitting payment information, you represent that you are authorized to use the payment method provided.

We reserve the right to refuse or cancel any order at our discretion.

3. Preorders

Certain products may be offered for preorder.

Preorders are non-refundable. By placing a preorder, you acknowledge and accept that delivery timelines may change and production schedules may vary.

Estimated shipping dates are not guaranteed.

4. Shipping

We ship globally. Import tariffs and taxes are fully included in your shipping fee at checkout. You will not face any additional customs charges upon delivery.

Shipping times are estimates only and are not guaranteed.

Risk of loss transfers to the customer once the product is delivered to the carrier.

Customers are responsible for:

  • Providing accurate shipping information

  • Import duties, taxes, and compliance with local laws

We are not responsible for delays caused by customs, carriers, or incorrect shipping details provided by the customer.

5. Returns and Refunds

At Lily Audio, we take pride in precision craftsmanship and acoustic excellence. We offer a 30-day return window from the date of delivery for qualifying consumer purchases.

1. Consumer Return Eligibility To qualify for a return under our 30-day policy:

  • Condition: Items must be in like-new, undamaged condition.

  • Packaging: All original packaging, manuals, and accessories must be intact and present.

  • Integrity: Products must show zero signs of internal or external modification, physical housing access, or disassembly.

2. Restocking Fee

  • Standard Restocking Fee: Approved returns are subject to a standard 5% restocking fee, which is deducted from your refund.

  • Wear & Missing Components: Items returned with visible cosmetic wear, or missing parts will incur an additional restocking fee of up to 15% (up to 20% total deduction).

3. Tamper Verification & Non-Refundable Items

  • Disassembly & Tampering: Any returned item displaying evidence of disassembly, housing opening, internal access, or acoustic modification will be immediately rejected.

  • Unrepairable Damage: Products returned with physical damage, structural alteration, or wear beyond the possibility of restoring the unit to like-new condition are completely ineligible for a refund.

  • Ineligible Returns: Rejected items will not receive a refund, and the product will only be shipped back to the buyer at the buyer’s expense.

4. Order Rights & Misuse

  • Policy Enforcement: Lily Audio reserves the right to cancel orders, deny return requests, or apply maximum restocking fees if return policy abuse, corporate misrepresentation, or competitive procurement is identified.

6. Limited Warranty

Lily Audio products include a 2-year limited warranty covering manufacturing defects only.

This warranty does not cover:

  • Misuse or abuse

  • Water damage

  • Unauthorized modification

  • Accidents

  • Normal wear and tear

We reserve the right to determine, at our sole discretion, whether to repair or replace a product under warranty.

7. Product Use Disclaimer

Lily Audio products:

  • Are not medical devices

  • Are not safety equipment

  • Must be used responsibly at safe listening levels

Prolonged exposure to high volume may cause hearing damage. You assume full responsibility for safe use.

Audio perception is subjective. We do not guarantee individual sound preferences or subjective listening experiences.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Our liability is limited to the purchase price of the product.

  • We are not liable for indirect, incidental, consequential, or punitive damages.

  • We are not liable for hearing damage or misuse of products.

This limitation applies regardless of the legal theory asserted.

9. Intellectual Property

All content on the Site — including text, graphics, product designs, logos, and technology — is the property of Flora Innovations Inc.

You may not:

  • Copy, reproduce, or distribute content without authorization

  • Reverse engineer or attempt to extract proprietary technology

  • Use our trademarks without written permission

10. Website Use

You agree not to:

  • Use the Site for unlawful purposes

  • Scrape or harvest data

  • Interfere with the operation or security of the Site

We reserve the right to refuse service or terminate access at our discretion.

11. Export Compliance

Customers are responsible for complying with all applicable import and export laws in their jurisdiction.

12. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of California.

Any dispute shall be resolved through binding arbitration in Santa Clara County, California.

You agree to waive the right to participate in any class action lawsuit or class-wide arbitration.
